Terms of Use
These Consumer Terms of Use (the “Consumer Terms”) are a binding agreement between you and Monkey Fingers LLC, doing business as Dispense.life (“Dispense,” “we,” “us,” or “our”). By accessing or using any Dispense website, application, communication, content, account or service (collectively, the “Platform”), you accept these Consumer Terms and the Privacy Policy. If you do not agree, do not use the Platform.
1. Eligibility and Accounts
You represent that you are legally capable of entering this agreement and are at least 21 years old, or meet a lawful medical-use age exception expressly supported by the Platform in your jurisdiction. You may not use the Platform where cannabis-related content or services are unlawful. You must provide accurate information, protect credentials and promptly report unauthorized access. You are responsible for activity under your account.
2. Dispense Is a Technology and Information Platform
Dispense provides discovery, informational, promotional, communication and technology services. Dispense does not manufacture, cultivate, test, possess, package, prescribe, recommend, dispense, transport, deliver or sell cannabis or other regulated products. Dispense is not a dispensary, healthcare provider, pharmacy, common carrier, delivery provider, broker, fiduciary or party to any transaction between you and a business.
Listings, menus, prices, inventory, potency, ingredients, warnings, licenses, hours, promotions and other third-party information may be delayed, incomplete or inaccurate. Displaying a business or product is not an endorsement, verification, medical recommendation or guarantee.
3. Orders and Reservations
A submission through the Platform is only a request transmitted to the selected business. It is not a completed purchase, acceptance, guarantee of availability or promise by Dispense. The business alone may accept, reject, modify, cancel or fulfill it. You must pay the business directly using the methods it accepts. Dispense does not process consumer payment for cannabis at launch and is not responsible for prices, taxes, discounts, payment, refunds, returns, substitutions, fulfillment, pickup or delivery.
4. Regulated Products and Consumer Responsibilities
- Comply with all applicable laws and purchase, possession, transport and use limits.
- Provide valid age, identity, residency, patient or caregiver documentation directly to the business when required.
- Do not cross jurisdictional borders with products where prohibited, drive impaired, resell unlawfully or provide products to minors.
- Review labels and warnings and consult a qualified professional regarding medical questions, interactions, pregnancy or health risks.
- Keep regulated products away from children and animals.
5. Content, Reviews and Feedback
You retain ownership of content you submit. You grant Dispense a worldwide, nonexclusive, sublicensable, transferable, royalty-free license to host, store, reproduce, modify, adapt, publish, translate, distribute, display and otherwise use that content to operate, market, improve and protect the Platform. You represent that you have all necessary rights and that the content is accurate, lawful and not deceptive. Dispense may moderate, reject, remove or preserve content without notice and has no duty to do so.
Feedback and suggestions may be used without restriction, attribution or compensation.
6. Platform License and Restrictions
Subject to these Consumer Terms, Dispense grants you a limited, revocable, nonexclusive, nontransferable license to use the Platform for personal, lawful purposes. You may not scrape, harvest, copy databases, reverse engineer, evade controls, automate access without permission, train a competing model or service on Platform content, misrepresent identity, manipulate rankings or reviews, introduce malicious code, or use the Platform to violate law or third-party rights.
7. Suspension, Changes and Termination
Dispense may investigate, restrict, suspend or terminate access, remove content, or change or discontinue any feature at any time, with or without notice, including for legal, security, operational, reputational or commercial reasons. You may stop using the Platform at any time. Provisions that by nature should survive will survive.
8. Third Parties
The Platform may link to or interoperate with businesses, POS providers, maps, social networks and other services. Dispense does not control or assume responsibility for them. Your dealings are governed by their terms and policies.
9. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE.” DISPENSE DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY AND RESULTS. DISPENSE DOES NOT WARRANT THAT ANY BUSINESS IS LICENSED, ANY PRODUCT IS LEGAL, SAFE, AVAILABLE OR AS DESCRIBED, OR THAT THE PLATFORM WILL BE ERROR-FREE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPENSE AND ITS AFFILIATES, OWNERS, PERSONNEL AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST DATA, PERSONAL INJURY, PROPERTY DAMAGE, BUSINESS INTERRUPTION OR THIRD-PARTY CONDUCT. THEIR TOTAL AGGREGATE LIABILITY ARISING FROM THE PLATFORM WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID DISPENSE FOR CONSUMER SERVICES DURING THE SIX MONTHS BEFORE THE EVENT. Mandatory rights that cannot be waived remain unaffected.
11. Indemnity
To the extent permitted by law, you will defend, indemnify and hold harmless Dispense and its affiliates, owners, personnel and providers from claims, losses and costs arising from your unlawful conduct, content, breach of these Consumer Terms, misuse of the Platform, or transaction with a business.
12. Dispute Resolution; Arbitration; Class Waiver
PLEASE READ THIS SECTION CAREFULLY. Except for eligible small-claims matters, requests for injunctive relief involving misuse or intellectual property, and claims that cannot lawfully be arbitrated, disputes will be resolved by individual binding arbitration administered by American Arbitration Association (AAA) under its applicable consumer rules. Before filing, a claimant must send a written notice to support@dispense.life and allow 30 days for informal resolution. Arbitration will occur in Miami-Dade County, Florida, remotely, or as otherwise required by applicable law. YOU AND DISPENSE WAIVE JURY TRIALS AND CLASS, COLLECTIVE, CONSOLIDATED AND REPRESENTATIVE PROCEEDINGS. You may opt out by sending signed notice to support@dispense.life within 30 days after first accepting these Consumer Terms. If this class waiver is unenforceable for a particular claim, that claim will proceed in court after arbitrable claims are completed.
13. General
These Consumer Terms, incorporated policies and applicable supplemental terms are the entire agreement. Dispense may update them prospectively by posting or other reasonable notice; continued use after effectiveness constitutes acceptance where permitted. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder continues. No waiver is continuing. You may not assign this agreement; Dispense may assign it to an affiliate or in connection with financing, restructuring, merger or sale. Florida law governs without regard to conflicts rules, except mandatory consumer law. Courts in Miami-Dade County, Florida have exclusive jurisdiction over non-arbitrable disputes.
